Binding Legal Agreement

Force Majeure

Sunforge shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in São Paulo, Brazil.

Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of São Paulo, Brazil, and you irrevocably consent to the jurisdiction of such courts.

Dispute Resolution

1. Informal Resolution

Before pursuing formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally. We will make good faith efforts to resolve any disputes amicably.

2. Mediation

If informal resolution is unsuccessful, the parties may agree to submit the dispute to mediation before a mutually acceptable mediator. The costs of mediation shall be shared equally between the parties.

3. Arbitration

If mediation is unsuccessful or declined, disputes may be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, conducted in São Paulo, Brazil. The decision of the arbitrator shall be final and binding.

Severability and Waiver

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder without our prior written consent. We may assign or transfer these terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be null and void.

Modifications to Terms
